Welcome to SpotItAll (“Platform”, “Company”, “we”, “our”, “us”). These Terms and Conditions (“Terms”) govern your access to and use of the Platform, including our website, mobile applications, services, content, communication features, and marketplace functionalities. By creating an account, accessing, browsing, or using the Platform, you agree to be legally bound by these Terms. If you do not agree to these Terms, you must discontinue use of the Platform immediately.

2.1 Users must be at least 18 years of age to register and use the Platform. 2.2 By registering, you represent and warrant that: • You are legally competent to enter into a binding contract. • Information provided by you is accurate and complete. • You will comply with all applicable laws. 2.3 We reserve the right to suspend or terminate accounts that provide false information.

3.1 The Platform acts solely as an intermediary technology service connecting buyers and sellers. 3.2 The Company: • Does not own listed products. • Does not take possession of products. • Does not guarantee product quality. • Does not guarantee seller authenticity. • Is not a party to transactions between users. 3.3 Any transaction entered into between users is solely at their own risk.

4.1 Users must create an account to access certain services. 4.2 Users are responsible for: • Maintaining password confidentiality. • All activities occurring through their account. • Immediately reporting unauthorized access. 4.3 The Company may suspend or terminate accounts without notice if fraud, abuse, or violations are detected.

5.1 Users may upload product descriptions, images, videos, reviews, messages, and other content. 5.2 Users represent that: • They own or have permission to use such content. • The content does not violate any law. • The content does not infringe third-party rights. 5.3 By uploading content, users grant the Company a worldwide, royalty-free, non-exclusive license to use, display, reproduce, distribute, and promote such content.

Users shall not post fake advertisements, misleading listings, stolen goods, counterfeit products, illegal products, prohibited items, duplicate advertisements, spam content, or fraudulent offers. The Company reserves the right to remove listings without prior notice.

The following items are prohibited: drugs and narcotics, firearms and ammunition, explosives, human organs, wildlife products, counterfeit goods, stolen property, pornographic content, gambling products, restricted medicines, government documents, and illegal financial products. The Company may report violations to law enforcement authorities.

Buyers agree to verify seller identity, inspect products before purchase, conduct due diligence, and exercise caution when making payments. The Company is not responsible for buyer losses arising from negligence or fraud by third parties.

Sellers agree to provide accurate product descriptions, disclose defects, deliver products as described, and comply with applicable laws. Sellers are solely liable for their listings and transactions.

10.1 The Platform may provide messaging features. 10.2 Users shall not harass others, threaten users, share illegal content, send spam messages, engage in hate speech, or distribute malware. 10.3 The Company may monitor, review, store, or remove messages to ensure safety, legal compliance, and platform integrity. 10.4 Users acknowledge that messages may be disclosed to authorities where required by law.

11.1 Unless expressly stated, the Platform is not a payment service provider. 11.2 Users conduct transactions at their own risk. 11.3 The Company shall not be liable for failed payments, payment fraud, chargebacks, banking errors, or third-party payment processor issues.

12.1 As the Platform only facilitates user-to-user interactions, refunds are generally not provided by the Company. 12.2 Refund disputes must be resolved directly between buyers and sellers. 12.3 Any platform service fees paid may be non-refundable unless required by law.

13.1 Certain services may require payment, such as premium listings, featured advertisements, promotional services, or subscription plans. 13.2 Fees may be modified at any time. 13.3 All fees are exclusive of applicable taxes unless stated otherwise.

Users acknowledge that online transactions involve risks, fraudulent users may exist, and product descriptions may be inaccurate. The Company encourages meeting in public places, verifying products before payment, and avoiding advance payments to unknown persons.

All Platform content, including logos, trademarks, software, designs, databases, and source code, remains the exclusive property of the Company or its licensors. Users shall not copy, modify, reverse engineer, or distribute Platform materials without written consent.

Collection and processing of personal information shall be governed by the Platform Privacy Policy. By using the Platform, users consent to such collection, storage, processing, and disclosure.

The Company may suspend or terminate any account for fraudulent activities, legal violations, policy breaches, abuse of services, or security concerns. Termination may occur without prior notice.

To the fullest extent permitted by law, the Company shall not be liable for product defects, user disputes, financial losses, fraudulent transactions, loss of data, business interruption, or consequential/indirect damages. Maximum liability shall not exceed the amount paid by the user to the Company during the preceding twelve months.

Users agree to defend, indemnify, and hold harmless the Company, its directors, employees, and agents from any claims, damages, losses, liabilities, costs, and legal fees arising from user content, user breaches, or user violations of third-party rights.

These Terms shall be governed by and construed in accordance with applicable laws. Disputes arising out of or in connection with the Platform shall be subject to the exclusive jurisdiction of competent courts.

If any provision of these Terms is found unenforceable, that provision shall be modified to the minimum extent necessary, and remaining provisions shall remain in full force and effect.

The Company reserves the right to modify these Terms at any time. Continued use of the Platform after changes constitutes acceptance of modified Terms.
